Nuxt Dashboard Pro License Agreement

This agreement (the "Agreement") is between Dennis Adriaansen, trading as Nuxt Dashboard ("we", "us"), and the person or organization that buys a license ("you"). By buying a license or installing the Software you accept it. If you accept on behalf of an organization, you confirm you may bind it.

1. Definitions

• Software: the @nuxtdashboard/ui package, the @nuxtdashboard/starter app, their documentation, and any updates we make available to you under this Agreement.
• Free Packages: nuxt-dashboard (the engine) and nuxt-dashboard-cli. They are licensed under the MIT License and are not covered by this Agreement.
• Developer: an individual who uses, modifies or reads the Software's source code, or installs it with your license key.
• End Product: an application you build with the Software whose value comes substantially from your own work, such as a SaaS product, an internal tool or a client application.
• License Key: the key issued after purchase that gives access to the private registry.
• Update Period: 12 months from the purchase date, during which you may download new versions of the Software.

2. Tiers

Every tier is a one-time payment and includes the full Software and the 12-month Update Period.

A Pro license may not be used for End Products built for a client, or for SaaS or other products you sell or license to third parties; those need a Commercial or Teams license. Pro and Commercial licenses are personal to one named Developer and may not be shared within an organization.

3. License grant

Subject to this Agreement and payment of the fee, we grant you a worldwide, non-exclusive, non-transferable license, for the number of Developers and the uses in your tier, to:

1. install, use, copy and modify the Software to build, test, deploy and operate End Products;
2. deploy and run End Products on any number of servers, for any number of end users, without further fees;
3. keep using every version you obtained during the Update Period, indefinitely, unless the Agreement is terminated under section 9.

End users of your End Products do not need their own license, as long as they cannot access the Software's source code or build their own End Products with it.

Client work (Commercial and Teams). You may deliver an End Product, including the Software embedded in it, to the client it was built for. That client may use, host, modify and maintain that End Product, but may not use the Software to build other End Products.

4. Restrictions

You may not:

1. distribute, sell, sublicense or publish the Software, in source or package form, except as compiled or embedded in an End Product, or as allowed for client work in section 3;
2. use the Software to create a product that competes with it, such as a starter, template, boilerplate, theme, UI kit or component library whose main purpose is to let others build dashboards or admin applications;
3. publish the Software's source code in a public repository or otherwise make it publicly accessible;
4. share your License Key with anyone other than the Developers covered by your license, or use it in CI systems where others can read it;
5. remove or alter copyright or license notices in the source code;
6. circumvent the registry's access controls.

5. Updates and support

You may download new versions during the Update Period. Afterwards, versions released before its end remain available to you; later versions need a new license. Support is by email on a best-effort basis. We may change or discontinue features in new versions.

6. Ownership

We keep all rights in the Software not expressly granted. You own your End Products and your own code. Modifications you make to the Software remain subject to this Agreement. If you send us feedback, we may use it without obligation.

7. Open-source components

The Software depends on third-party open-source packages, installed from npm under their own licenses. Nothing in this Agreement limits your rights under those licenses.

8. Fees, taxes and refunds

Payments are processed by Stripe. Prices exclude VAT, which is added at checkout where it applies. If the Software does not work for you, email us within 14 days of purchase for a full refund; a refund ends the license and revokes the License Key.

9. Warranty and liability

The Software is provided "as is", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows. You are responsible for your End Products and their compliance with the laws that apply to your users and data.

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or lost profits or data. Our total liability under this Agreement is limited to the fee you paid. Nothing in this Agreement limits liability that cannot be limited by law, or the mandatory rights of consumers.

10. Term and termination

The Agreement starts at purchase and continues until terminated. We may terminate it if you materially breach it and do not cure the breach within 30 days of notice, or immediately for a breach of section 4. On termination you must stop developing with the Software and delete it, except copies embedded in End Products deployed before termination, which may keep running. Sections 4, 6, 7, 9 and 11 survive termination.

11. General

• Privacy: the Software has no telemetry or license checks at runtime. The registry processes your License Key and download counts to provide access; see https://nuxtdashboard.com/privacy.
• Assignment: you may transfer the license as part of a merger or sale of the business that uses it, with notice to us. Otherwise transfers need our written consent.
• Governing law: Dutch law applies. Disputes go to the competent court in the Netherlands, without prejudice to the mandatory protection consumers have under the law of their country.
• Changes: we may offer updated terms for new purchases; the terms you accepted keep applying to your license.
